These Terms & Conditions (“Terms”) govern your use of our website, online service request forms, communications, smart monitoring services, membership plans, home comfort services, indoor air quality services, generator services, app-related features, and any products or services provided by ASHB, its affiliates, or authorized partner contractors.

By using our website, submitting a service request, enrolling in a membership plan, purchasing a service, approving an estimate, using our app, or communicating with us, you agree to these Terms.

Please read these Terms carefully. If you do not agree, do not use our website, submit service requests, enroll in plans, or purchase services from ASHB.

America’s Smart Homes & Businesses is a health-focused, technology-driven HVAC, AC, heating, generator, indoor air quality, duct, and home comfort company serving Texas through trusted local partner contractors.

We combine professional home comfort services with smart technology, including smart sensors, 24/7 remote monitoring, virtual diagnostics, proactive alerts, homeowner app features, and technician support to help detect issues early, support cleaner indoor air, reduce energy waste, and protect home comfort.

Our services may include, but are not limited to:

Some services may be provided directly by ASHB, while others may be performed by authorized local partner contractors or affiliated service providers.

2. Use of Our Website

You may use our website only for lawful purposes. You agree not to:

  • Submit false, misleading, or fraudulent information
  • Interfere with the operation or security of the website
  • Attempt unauthorized access to our systems
  • Scrape, copy, reproduce, or misuse website content without permission
  • Use the website to harass, abuse, impersonate, or misrepresent yourself
  • Submit service requests for properties you do not own, manage, or have authority to request service for

All website content, including text, graphics, logos, images, service descriptions, offers, videos, layouts, and other materials, is owned by or licensed to ASHB and may not be copied, modified, distributed, or used without our written permission.

3. Service Requests

You may submit a service request online, by phone, through the app, or through another approved ASHB communication channel.

Submitting a service request does not guarantee immediate service, same-day availability, emergency dispatch, approval of service, fixed pricing, or acceptance of the job.

A service request becomes a confirmed appointment only when ASHB or an authorized partner contractor accepts, schedules, and confirms the appointment.

We may contact you regarding your request by phone, text message, email, app notification, or other communication method you provide.

Customers submitting service requests are responsible for providing accurate contact information, service address, system information, access instructions, and details about the service issue.

4. Service Area

ASHB serves customers in Texas through trusted local partner contractors and affiliated service providers.

Service availability may vary based on:

  • Customer location
  • Technician availability
  • Partner contractor coverage
  • Equipment type
  • Service type
  • Weather conditions
  • Parts availability
  • Scheduling capacity
  • Safety conditions
  • Local code, permit, or utility requirements

ASHB may decline, reschedule, or refer service requests outside of available coverage areas or service capabilities.

5. Partner Contractors and Local Service Providers

Services may be performed by ASHB, its affiliates, authorized partner contractors, member contractors, or local operating brands.

The specific contractor listed on your estimate, invoice, work order, appointment confirmation, or service documentation may be responsible for some or all of the following:

  • Service performance
  • Workmanship
  • Licensing
  • Permits
  • Inspections
  • Scheduling
  • Labor warranties
  • Local customer support
  • Repairs or installations performed at your property

 

ASHB may provide centralized support, technology, monitoring services, customer communication, membership administration, app access, billing support, or brand-level coordination.

6. Estimates, Quotes, and Pricing

Any estimate, quote, proposal, advertised price, or online pricing is based on the information available at the time and may change based on actual property conditions, system condition, accessibility, equipment requirements, code requirements, permits, customer-selected upgrades, or additional work discovered during inspection or service.

Pricing may vary based on:

  • Number of systems
  • System size and type
  • Equipment age and condition
  • Accessibility of equipment, ducts, attic, crawlspace, electrical panels, or generator location
  • Parts availability
  • Labor requirements
  • Permits and inspections
  • Code upgrades
  • Electrical, gas, duct, drain, or structural requirements
  • Customer location
  • Emergency, holiday, or after-hours service requirements
  • Additional repairs, replacements, or upgrades approved by the customer

 

Unless otherwise stated in writing, estimates do not include unforeseen repairs, hidden conditions, code upgrades, permit fees, special-order parts, utility changes, electrical upgrades, gas line modifications, structural modifications, or third-party work.

Any material change in scope or price may require customer approval before additional work is performed.

7. Diagnostics and Service Fees

Diagnostic fees, trip charges, service call fees, inspection fees, emergency fees, after-hours fees, holiday fees, or other fees may apply depending on the service requested, customer location, membership status, and technician availability.

Members may receive reduced diagnostic fees or other member pricing where applicable. Reduced diagnostic fees, discounts, and member pricing are available only to active members in good standing and may vary by service, location, or partner contractor.

Diagnostic fees may be separate from repair, replacement, installation, or maintenance charges unless otherwise stated in writing.

8. Payment Terms

Payment is due according to the estimate, invoice, service agreement, membership enrollment terms, financing agreement, or payment schedule provided to you.

By providing a payment method, you authorize ASHB, its affiliates, partner contractors, or payment processors to charge your payment method for approved services, recurring membership charges, deposits, balances, cancellation fees, equipment, parts, taxes, fees, and other amounts owed.

You are responsible for keeping your payment information current.

If payment fails, is declined, reversed, disputed, or not received when due, ASHB may:

  • Retry the payment
  • Suspend membership benefits
  • Suspend monitoring or app-related services
  • Delay or cancel scheduled service
  • Charge applicable late fees, return fees, or collection costs where allowed
  • Require payment before additional work is performed
  • Refer unpaid balances to collection where allowed

9. Financing

Financing may be offered through third-party financing providers where available.

Approval is not guaranteed. Financing terms, rates, fees, payment amounts, credit approval, and repayment obligations are determined by the financing provider.

Unless otherwise stated in writing, ASHB is not the lender. You remain responsible for all payment obligations under any financing agreement you sign.

Financing notifications may be sent by ASHB or its financing partners when applicable.

10. Smart Maintenance Membership Plans

ASHB offers Smart Maintenance Membership Plans designed to protect home comfort through smart sensors, 24/7 remote monitoring, proactive alerts, virtual diagnostics, and planned maintenance.

Membership benefits may include, depending on plan:

  • 24/7 smart monitoring
  • Smart sensors and installation
  • Alerts for low airflow, high usage, abnormal runtimes, and water leaks
  • Virtual inspections
  • Remote performance analysis
  • Emailed system health reports
  • In-person tune-ups
  • Technician support
  • AI technician options
  • Priority scheduling
  • No emergency after-hours or holiday rates
  • Reduced diagnostic fees
  • Member pricing on duct cleaning
  • Member pricing on corrosion-resistant coatings
  • Discounted add-ons such as coil coating
  • App dashboard access
  • Breakdown risk indicators
  • Water and freeze alerts
  • System performance insights
  • Filter tracking
  • Discounted filter ordering where available
  • Scheduling tools
  • Live technician chat where available
  • Educational content

 

Membership benefits are subject to plan type, service area, technician availability, system compatibility, payment status, and these Terms.

11. Silver Smart Plan

The Silver Smart Plan is designed for homeowners who want remote peace of mind without routine in-person technician visits.

Price: $19.95/month per system or $239.40/year per system.

The Silver Smart Plan includes:

  • Two virtual maintenance reports per year
  • Remote performance analysis every six months
  • Detailed emailed health reports
  • 24/7 remote monitoring
  • Virtual inspections
  • Smart sensors and installation
  • Eligible universal member benefits described in these Terms

12. Gold Smart Plan

The Gold Smart Plan is designed for homeowners who prefer hands-on care and in-person technician visits.

Price: $29.95/month per system or $359.40/year per system.

The Gold Smart Plan includes:

  • Two in-person tune-ups per year
  • Seasonal technician visits for system checks and cleaning
  • 24/7 remote monitoring
  • Technician support
  • AI technician options where available
  • Smart sensors and installation
  • Eligible universal member benefits described in these Terms

13. Membership Term, Renewal, and Cancellation

All Smart Maintenance Membership Plans require a minimum 12-month commitment.

Membership subscriptions automatically renew unless canceled by the customer according to these Terms.

By enrolling in a recurring membership plan, you authorize ASHB or its payment processor to charge your selected payment method at the stated billing interval until the plan is canceled according to these Terms.

Cancellation requests must include your name, service address, contact information, and membership details.

If you cancel before completing the 12-month minimum term, you are responsible for a $175 early cancellation fee.

Cancellation stops future recurring charges after cancellation is processed, except for amounts already owed, unpaid balances, early cancellation fees, completed services, equipment charges, or other nonrefundable amounts.

ASHB may cancel, suspend, or modify membership benefits if payment is not received, sensors are removed or damaged, service access is denied, the property is outside the service area, the system is incompatible, or the customer violates these Terms.

14. Total Air Reset Plan

ASHB may offer a Total Air Reset Plan for qualifying systems.

Price: $149/month for 24 months, or $3,497 paid in full.

The paid-in-full option may be presented as the best value.

Unless otherwise stated in writing, the Total Air Reset Plan applies per system and includes remote monitoring.

The Total Air Reset Plan may include the following over a 24-month period:

  • One Total Air Reset visit
  • Full duct cleaning
  • Dryer vent cleaning
  • HEPA installation
  • Deep coil cleaning
  • Filter change labor
  • Safety and performance check
  • Remote monitoring and app alerts
  • Priority scheduling status

 

The general visit structure is:

Year 1:
Visit 1: Total Air Reset heavy visit
Visit 2: Light visit, including filter swap and quick check

Year 2:
Visit 3: Coil check and filters
Visit 4: Light filter visit

Filters are not included unless specifically stated in writing. Filter changing labor may be included, but the filters themselves may be billed separately if ASHB purchases or provides them.

The Total Air Reset Plan may be subject to qualification, system condition, accessibility, service area, payment approval, technician availability, and equipment compatibility.

15. Smart Sensors, Monitoring, and App Features

ASHB’s smart technology may include comfort sensors, filter sensors, water sensors, app dashboard features, system performance insights, breakdown risk indicators, filter tracking, water and freeze alerts, scheduling, live support, educational content, and remote monitoring.

Smart monitoring, AI diagnostics, app insights, virtual inspections, alerts, and reports are designed to help identify potential system issues early. However, they do not guarantee that every issue will be detected, that every alert will be accurate, or that breakdowns, leaks, water damage, freeze events, equipment failure, indoor air quality concerns, power interruptions, or energy waste will always be prevented.

App access, alerts, live chat, sensor readings, and remote monitoring may depend on:

  • Internet connectivity
  • Wi-Fi availability
  • Power availability
  • Compatible devices
  • Sensor placement
  • Sensor condition
  • Battery condition
  • Customer notification settings
  • Third-party platforms
  • System availability
  • Customer response to alerts
  • Equipment compatibility

 

24/7 monitoring does not necessarily mean 24/7 live technician dispatch unless specifically stated in writing.

ASHB may update, modify, suspend, replace, or discontinue app features, sensor features, monitoring tools, reports, or alerts at any time.

16. Sensor Ownership, Installation, and Removal

Smart sensors and installation may be included with eligible membership plans.

Unless otherwise stated in writing, smart sensors may remain the property of ASHB, its affiliates, vendors, or authorized service providers.

Sensors may be activated, deactivated, serviced, replaced, or removed by ASHB or its authorized representatives.

Customers agree not to tamper with, move, damage, disable, remove, sell, transfer, or misuse smart sensors or monitoring equipment.

If sensors are damaged, removed, not returned when required, or made inaccessible, the customer may be responsible for replacement, repair, service, or equipment charges.

Sensors may require proper placement, power, connectivity, Wi-Fi access, and customer cooperation to function as intended.

17. No Guarantee Against Breakdowns or Damage

ASHB’s services are designed to be proactive, data-driven, and preventive where possible.

However, ASHB does not guarantee that monitoring, maintenance, tune-ups, sensors, app alerts, virtual diagnostics, reports, inspections, filter tracking, water alerts, freeze alerts, or technician visits will prevent all breakdowns, repairs, failures, leaks, water damage, property damage, power outages, system interruptions, indoor air quality issues, or emergency service needs.

Mechanical systems, HVAC equipment, generators, ducts, filters, sensors, electrical components, plumbing-related components, and smart devices may fail or require service even when maintained and monitored.

18. Indoor Air Quality and Health Disclaimer

ASHB provides indoor air quality services that may include HEPA filtration, duct cleaning, duct replacement, dryer vent cleaning, air purification, humidity-related recommendations, coil cleaning, filter tracking, and related services.

These services are designed to help support cleaner indoor air and healthier home comfort conditions.

However, ASHB does not diagnose, treat, cure, or prevent medical conditions. ASHB does not guarantee the elimination of all contaminants, allergens, dust, mold, bacteria, viruses, odors, pollutants, smoke, volatile organic compounds, or airborne particles.

Indoor air quality results may vary based on:

  • Home design
  • HVAC system condition
  • Filter type and replacement frequency
  • Duct condition
  • Occupant behavior
  • Pets
  • Humidity
  • Outdoor air conditions
  • Cleaning habits
  • Moisture sources
  • Building materials
  • Prior contamination
  • Ventilation
  • Equipment compatibility

 

Customers with medical concerns should consult a qualified healthcare professional.

19. Certified Healthy Home™ Program and Scorecards

ASHB may provide a Certified Healthy Home™ Program, personalized Scorecards, technician evaluations, system performance reports, and recommendations intended to help customers understand their home comfort system, indoor air quality considerations, maintenance needs, replacement needs, and efficiency opportunities.

A Scorecard, certification, report, badge, or technician recommendation is informational and based on available observations, system data, technician findings, and program criteria at the time of review.

The Certified Healthy Home™ badge does not guarantee future system performance, perfect indoor air quality, absence of contaminants, absence of mold, medical safety, code compliance, structural condition, property value, insurance eligibility, or prevention of future problems.

The Certified Healthy Home™ Program is not a substitute for a full home inspection, medical evaluation, environmental inspection, mold clearance test, engineering inspection, code inspection, insurance inspection, or manufacturer certification.

Certification criteria, badges, reports, and Scorecards may change over time.

20. Generator Services

ASHB may provide whole-home generator installation, repair, maintenance, monitoring-related support, and service.

Generator performance depends on equipment condition, fuel supply, load demand, proper installation, manufacturer specifications, maintenance, electrical conditions, gas supply, transfer switch operation, utility conditions, and other factors.

ASHB does not guarantee uninterrupted power during every outage.

Generator services may require permits, inspections, electrical work, gas work, utility coordination, HOA approval, site preparation, concrete pads, trenching, meter upgrades, or code-related changes. These items may result in additional charges unless specifically included in writing.

Customers are responsible for ensuring access, fuel availability, and ongoing maintenance unless otherwise stated in writing.

21. HVAC, Heating, and Air Conditioning Services

ASHB may provide HVAC, air conditioning, heating, repair, replacement, maintenance, tune-up, installation, and system performance services.

System performance may vary based on:

  • Equipment age
  • Equipment sizing
  • Installation quality
  • Home insulation
  • Duct condition
  • Thermostat settings
  • Filter condition
  • Refrigerant condition
  • Electrical components
  • Weather
  • Usage patterns
  • Maintenance history
  • Prior repairs
  • Manufacturer specifications

 

ASHB does not guarantee that maintenance or repairs will extend the life of a system for any specific period or prevent all future repairs.

22. Duct Cleaning, Dryer Vent Cleaning, and Duct Replacement

ASHB may provide duct cleaning, duct replacement, and dryer vent cleaning.

These services are subject to accessibility, duct condition, layout, contamination level, system design, and safety considerations.

ASHB is not responsible for pre-existing duct damage, inaccessible ducts, hidden contamination, pest damage, microbial growth, asbestos, structural issues, or improper prior installation.

Duct cleaning, duct replacement, and dryer vent cleaning may help improve airflow, cleanliness, and system performance, but they do not guarantee removal of all contaminants or prevention of all future dust, odor, moisture, airflow, fire, or air quality issues.

23. HEPA Filtration and Filter Services

ASHB may install or service whole-home HEPA filtration systems and related indoor air quality equipment.

Filter performance depends on system compatibility, airflow, correct installation, regular replacement, home conditions, and proper maintenance.

Unless specifically stated in writing, filters are not included in all plans or services. Filter tracking, filter change labor, discounted filter ordering, or filter recommendations may be available depending on the plan or service.

ASHB does not guarantee that any filter or filtration system will remove all airborne particles, allergens, pollutants, smoke, odors, mold, bacteria, viruses, or contaminants.

24. Corrosion-Resistant Coatings and Coil Services

ASHB may provide corrosion-resistant coatings, coil cleaning, coil coating, and related add-on services.

These services may help protect certain components under certain conditions, but they do not guarantee prevention of all corrosion, wear, equipment failure, environmental damage, or future repair needs.

Results may vary based on equipment condition, location, environmental exposure, maintenance, manufacturer compatibility, and application conditions.

25. Customer Responsibilities

Customers are responsible for:

  • Providing accurate information
  • Providing safe and reasonable access to the property
  • Ensuring an adult authorized decision-maker is present when required
  • Securing pets
  • Disclosing known system problems or hazards
  • Maintaining Wi-Fi, power, and connectivity needed for monitoring
  • Keeping contact information current
  • Keeping payment information current
  • Replacing filters unless filters are specifically included
  • Responding to alerts, calls, texts, emails, or app notifications
  • Allowing scheduled maintenance or service access
  • Obtaining landlord, property manager, HOA, or owner approval where required
  • Approving additional work when needed
  • Maintaining equipment according to manufacturer recommendations
  • Not tampering with sensors, equipment, wiring, safety devices, or installed systems

 

ASHB is not responsible for problems caused by customer misuse, neglect, lack of access, failure to respond to alerts, disabled notifications, poor Wi-Fi, power interruptions, blocked vents, dirty filters, unauthorized repairs, third-party work, or failure to maintain equipment.

26. Scheduling, Access, and Missed Appointments

Appointments are subject to technician availability, location, weather, parts availability, workload, emergency volume, safety conditions, and service type.

Priority scheduling for members means members receive preferred scheduling treatment when available. It does not guarantee same-day service, immediate dispatch, emergency response, or a specific arrival time.

ASHB may reschedule, delay, or cancel appointments due to weather, safety concerns, emergencies, technician availability, parts delays, road conditions, utility issues, or other circumstances.

If a customer misses an appointment, fails to provide access, fails to provide a required adult representative, or cancels without sufficient notice, ASHB may charge a missed appointment, trip, or rescheduling fee where allowed.

27. Emergency, After-Hours, and Holiday Service

Some membership plans may include no emergency after-hours or holiday rates.

Unless otherwise stated in writing, this benefit means eligible active members may not be charged premium after-hours or holiday rate increases for covered service calls.

This does not necessarily waive diagnostic fees, trip charges, repair charges, labor charges, equipment charges, parts charges, permit fees, taxes, emergency materials, third-party charges, or other costs.

Emergency, after-hours, and holiday service availability is not guaranteed and may depend on location, technician availability, safety conditions, weather, parts availability, and service capacity.

28. Discounts, Promotions, and Member Pricing

Discounts, promotional offers, member pricing, reduced diagnostic fees, add-on discounts, duct cleaning discounts, corrosion-resistant coating discounts, and other offers are subject to availability, active membership status, service area, equipment condition, and current pricing.

Offers may expire, change, or be discontinued at any time unless otherwise stated in writing.

Promotions may not be combined with other discounts or offers unless specifically stated.

29. Equipment, Parts, Substitutions, and Availability

Equipment, parts, filters, sensors, generators, HVAC systems, IAQ products, and other materials are subject to availability.

ASHB may recommend alternative equipment, parts, or solutions if originally quoted items are unavailable, discontinued, delayed, incompatible, unsafe, or not suitable for the property.

Any material change in price or scope may require customer approval.

Special-order equipment, custom parts, installed equipment, and completed services may be nonrefundable unless otherwise required by law or stated in writing.

30. Permits, Codes, and Inspections

Some services may require permits, inspections, utility coordination, code upgrades, electrical work, gas work, structural modifications, or other compliance-related work.

Unless specifically included in the written estimate, permits, inspection fees, code upgrades, utility requirements, electrical upgrades, gas line changes, structural modifications, or additional work required by inspectors may result in additional charges.

Work requiring a license will be performed by appropriately licensed personnel or contractors where required by law.

31. Existing, Hidden, or Unsafe Conditions

ASHB is not responsible for pre-existing, hidden, latent, unknown, or concealed conditions, including but not limited to:

  • Existing equipment defects
  • Improper prior installation
  • Code violations
  • Unsafe wiring
  • Gas issues
  • Duct defects
  • Drainage issues
  • Water damage
  • Mold or microbial growth
  • Pest or rodent damage
  • Structural issues
  • Asbestos or hazardous materials
  • Insulation problems
  • Roof, attic, crawlspace, or wall conditions
  • Utility limitations
  • Manufacturer defects
  • Third-party work

 

If hidden or unsafe conditions are discovered, additional work and charges may be required. ASHB may refuse or stop work if conditions are unsafe.

32. Right to Refuse or Stop Work

ASHB may refuse, suspend, or stop work for safety, legal, operational, or practical reasons, including:

  • Unsafe work conditions
  • Aggressive animals
  • Threatening, abusive, or unsafe behavior
  • Unsanitary conditions
  • Suspected hazardous materials
  • Severe weather
  • Lack of access
  • Lack of required adult authorization
  • Electrical, gas, structural, or environmental hazards
  • Unpaid balances
  • Incompatible systems
  • Customer refusal to approve necessary safety work
  • Violation of these Terms

33. Warranties

Manufacturer warranties are provided by the manufacturer, not ASHB, unless otherwise stated in writing.

Labor warranties, service warranties, parts warranties, workmanship warranties, or maintenance warranties, if any, will be stated in the applicable estimate, invoice, service agreement, membership agreement, or warranty documentation.

Warranty coverage may be void or limited by:

  • Misuse
  • Neglect
  • Lack of maintenance
  • Dirty filters
  • Unauthorized repairs
  • Third-party work
  • Customer-supplied equipment
  • Power surges
  • Flooding
  • Fire
  • Acts of God
  • Pest or rodent damage
  • Tampering with equipment or sensors
  • Failure to follow manufacturer instructions
  • Failure to maintain Wi-Fi or connectivity for monitored services
  • Failure to provide access for service
  • Pre-existing or hidden conditions

ASHB does not provide any warranty unless specifically stated in writing.

34. Refunds

Completed services are generally nonrefundable unless otherwise required by law or stated in a written warranty.

Diagnostic fees, trip charges, completed labor, installed equipment, installed parts, special-order items, custom equipment, permit fees, third-party charges, and completed maintenance services may be nonrefundable.

Membership payments, prepaid services, Total Air Reset Plan payments, deposits, or other plan payments are subject to the cancellation, minimum term, and refund terms stated in the applicable plan or agreement.

Refund requests must be submitted to ASHB using the contact information in these Terms.

35. Right to Cancel Certain Transactions

Certain consumer transactions may be subject to cancellation rights under applicable law, including transactions signed at a customer’s home or away from a regular place of business.

Where required by law, ASHB or the applicable service provider will provide a cancellation notice or other legally required disclosures.

Nothing in these Terms is intended to limit any cancellation rights that cannot legally be waived.

36. Photos, Videos, Diagnostics, and Service Documentation

ASHB technicians, contractors, or service representatives may take photos, videos, readings, screenshots, sensor data, measurements, notes, or other documentation related to equipment, work areas, system condition, installation, service findings, before-and-after conditions, warranties, diagnostics, quality control, training, or proof of work.

ASHB will use reasonable care when documenting service areas and will not intentionally publish identifiable private areas of your home for marketing purposes without permission.

37. Data, Privacy, and Monitoring Information

ASHB may collect and use information necessary to provide website access, service requests, scheduling, billing, smart monitoring, app access, alerts, customer support, membership administration, diagnostics, service history, and related services.

Messages may include appointment reminders, technician arrival notifications, customer support communications, financing notifications, and promotional offers only if the customer has opted in to receive promotional messages.

Consent to receive SMS messages is not a condition of purchase.

Transactional messages may relate to service requests, appointments, technician arrivals, support, monitoring alerts, billing, financing, membership updates, or active customer service matters.

Promotional messages may include offers, discounts, seasonal reminders, membership promotions, service recommendations, or other marketing communications, but only where the customer has provided the required consent.

You are responsible for providing an accurate mobile number and for notifying ASHB if your number changes.

ASHB is not responsible for delayed or undelivered text messages caused by carrier issues, device settings, network availability, incorrect phone numbers, or other circumstances outside ASHB’s control.

39. Email, Phone, App, and Other Communications

By submitting your contact information, requesting service, enrolling in a plan, purchasing a service, or using the app, you agree that ASHB, its affiliates, partner contractors, or service providers may contact you regarding your account, service requests, appointments, billing, membership, monitoring, support, financing, and related matters.

Communications may occur by phone, text message, email, app notification, live chat, or other available channels.

You may opt out of promotional communications where required by law. Opting out of promotional communications may not stop transactional or service-related messages necessary to provide active services, appointments, billing, monitoring, or account support.

40. Energy Savings Disclaimer

ASHB services, monitoring, filter tracking, system recommendations, maintenance, high-efficiency equipment, and indoor air quality solutions may help reduce energy waste or support more efficient system performance.

However, ASHB does not guarantee lower utility bills or specific energy savings.

Energy usage and costs depend on many factors, including system condition, equipment age, home size, insulation, duct condition, weather, thermostat settings, occupant behavior, utility rates, maintenance history, and equipment selection.

41. Limitation of Liability

To the maximum extent allowed by law, ASHB, its affiliates, owners, employees, contractors, partner contractors, vendors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or loss-of-use damages.

This includes, but is not limited to:

  • Lost profits
  • Lost savings
  • Loss of comfort
  • Loss of use of property
  • Temporary relocation costs
  • Missed work
  • Missed alerts
  • App outages
  • Internet outages
  • Sensor disconnection
  • Power interruptions
  • Water damage
  • Freeze damage
  • Equipment failure
  • Generator outage
  • Indoor air quality concerns
  • Third-party platform failures
  • Customer failure to respond to alerts
  • Problems caused by pre-existing or hidden conditions

 

To the maximum extent allowed by law, ASHB’s total liability for any claim will not exceed the amount paid by the customer for the specific service giving rise to the claim.

Some jurisdictions may not allow certain limitations, so some limitations may not apply.

42. No Professional Medical, Environmental, Engineering, or Insurance Advice

ASHB provides home comfort, HVAC, generator, indoor air quality, monitoring, maintenance, and related services.

ASHB does not provide medical advice, environmental testing certification, engineering opinions, insurance advice, legal advice, or real estate inspection services unless specifically stated in writing by a qualified professional.

Any reports, Scorecards, alerts, diagnostics, recommendations, or technician findings are provided for home comfort, maintenance, service, and informational purposes only.

43. Customer-Supplied Equipment

If ASHB agrees to install, inspect, connect, or service customer-supplied equipment, parts, filters, thermostats, generators, sensors, IAQ products, or other materials, ASHB is not responsible for defects, missing parts, compatibility issues, warranty claims, performance issues, safety issues, or failures related to customer-supplied items.

ASHB may refuse to install or service customer-supplied equipment if it is incompatible, unsafe, incomplete, damaged, noncompliant, or unsuitable.

44. Changes to Services or Terms

ASHB may update, modify, replace, suspend, or discontinue services, membership features, app features, monitoring tools, pricing, benefits, offers, discounts, or these Terms from time to time.

Updated Terms may be posted on our website or provided through another communication method.

Changes will apply as stated in the updated Terms. Continued use of the website, app, monitoring, membership, or services after updates are posted or provided means you accept the updated Terms.

Material changes to recurring membership terms may be communicated as required by applicable law.

45. Force Majeure

ASHB is not responsible for delay, nonperformance, service interruption, missed appointments, product delays, parts delays, monitoring interruptions, app outages, or other failures caused by events outside its reasonable control, including:

  • Lightning
  • Power outages

46. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute will be handled in accordance with applicable law and any written agreement between the customer and ASHB or the applicable service provider.

47. Entire Agreement

These Terms, together with any applicable estimate, invoice, service agreement, membership agreement, financing agreement, privacy policy, SMS consent, warranty document, or written addendum, make up the agreement between you and ASHB regarding the applicable services.

If there is a conflict between these Terms and a signed written agreement, the signed written agreement will control for that specific service or transaction.
